“Campaigns” and their specific “Campaign Rules” are defined at the Program’s campaign level and can be viewed in the Promoter’s account. Annoell determines the number of Campaigns and sets the rules for each, retaining the right to modify, revise, or update any Campaign Rules at any time. Revised rules will be posted on the Program platform without prior notice to Promoters. It is the Promoter’s responsibility to review, understand, and stay updated on all Campaign Rules. Failure to do so may result in loss of rewards or account termination.

Commission structures are specified at the Campaign level and are visible in the Promoter’s account. Annoell sets the commission amounts for each Campaign and reserves the right to adjust, modify, or terminate commissions at its discretion, with no prior notice to Promoters.

To be eligible for rewards, each customer referred by a Promoter through the Program must meet all of the following criteria:

✓The referred customer must be a new customer, meaning they have never registered an account on annoell.com or been a registered customer of Annoell (including under any other name, email address, or alias).

✓The referred customer must make a qualifying purchase using the Promoter’s unique partner link.

✓The referred customer must not be the Promoter themselves, must have distinct identifying information from the Promoter, and must not reside in the same household or share the same billing/shipping address as the Promoter.

✓The referred customer must purchase a new (non-refurbished) qualifying Product that is part of the Program and is the latest version available.

✓The referred customer does not cancel or return the purchase.

✓A referral and order meeting all the above conditions is referred to as a “Qualified Referral Transaction.”

✓If the referred customer does not click the Promoter’s partner link to make a purchase, no rewards will be issued, as XX Brand cannot verify the purchase resulted from the Promoter’s referral.

Annoell reserves the right to revoke or refuse rewards for Qualified Referrals suspected (in its sole discretion) of being generated through fraud, unauthorized channels, or other prohibited activities. Such cases will result in immediate account termination and exclusion from the Program. Purchases made via partner links distributed through unauthorized channels will not be considered Qualified Referrals, and any rewards issued for these transactions will be revoked.

Prohibited activities and unauthorized channels include, but are not limited to:

• Distributing unique partner links on commercial platforms (e.g., Reddit), personal websites, or coupon sites.
• Listing Annoell products for sale on personal websites, e-commerce platforms (e.g., Amazon, eBay, Shopee), or other online marketplaces.
• Promoting via spam messages or unsolicited communications.
• Promoting through search engines (e.g., Google, Yahoo, Bing).
• Promoting on third-party websites, coupon platforms, or similar channels.
• Sharing partner links alongside official Annoell.com communications (e.g., brand-maintained product profiles).
• Distributing partner links via bulk or unsolicited commercial emails (“spam”), as defined by applicable laws.
• Creating additional redirects to partner links without prior written approval from Annoell.

Promotion channels and content must not include:

• Obscenity, pornography, gambling, violence, terrorism, or content inciting crime; defamation, insult, or infringement of others’ legitimate rights.
• Racial discrimination or attacks on individuals, groups, or organizations.
• Content related to illegal drugs, weapons, or prohibited paraphernalia.
• Infringement of intellectual property rights (e.g., patents, trademarks, copyrights).
• Content violating laws, regulations, or public interests, or promoting illegal activities.

Annoell reserves the right to cancel the Affiliate Program or amend this Agreement at any time, in its sole discretion. Unclaimed rewards will be forfeited upon such changes.

By participating in the Affiliate Program, you voluntarily assume all risks associated with its use. On behalf of yourself, your representatives, and heirs, you agree to release, indemnify, and hold harmless Annoell, its shareholders, officers, directors, employees, agents, affiliates, and successors from any claims, damages, or losses (including bodily injury, property damage, or emotional harm) arising from your use of the Affiliate Program, whether to yourself or third parties.

Annoell may terminate a Promoter’s account, cancel all rewards, and pursue compensation if, in its sole discretion, the Promoter is found to have tampered with the Program, used it abusively, unethically, or fraudulently, breached this Agreement, or engaged in conduct harming Annoell (collectively, “Fraud”). Promoters found guilty of Fraud will forfeit all rewards and be immediately excluded from the Program.

Any dispute arising from or related to this Agreement (including breach, termination, or invalidity) shall be governed by the laws of United States. Disputes will be submitted to binding arbitration at a time and location designated by Annoell.
